These short terms cover the new-business offers on direct-me.org/new-business/. Direct-Me LLC, an Oregon limited liability company, 13203 SE 172nd Ave, Suite 166 PMB 2030, Happy Valley, OR 97086 · 833-736-1991 · admin@direct-me.org. Last updated 8 October 2026.

Part A: Websites (Day-One Launch Kit, monthly website, starter website)

A1. Who owns what

Launch Kit Monthly website Starter website
Domain name You. Registered in your name, on your account, paid by you to the registrar. We only get access to point it at the site. Same Same
Your content (your words, photos, logo, and the words we write for you) You You You
The site itself (design, code, layout) You, once the setup fee is paid Direct-Me, licensed to you while you subscribe; after 12 paid months, the site is yours too You, once the fee is paid
Google Business Profile, listings, accounts You. You are the owner; we are added as a manager and remove ourselves when you ask. Not included Not included
Hosting account Direct-Me’s server Direct-Me’s server Yours. You pay your host directly.

We keep our own tools, templates and know-how . We never hold your domain, profile or accounts to make you stay. Ever.

A2. What hosting and care cover (Launch Kit at $29/mo, monthly website at $39/mo, starter-site care at $19/mo)

Covered: keeping the site online, the security certificate (the lock in the browser), software updates, backups, fixing anything we broke, and up to 30 minutes of small edits a month (a new phone number, new hours, a changed sentence). Unused minutes do not roll over.

Not covered: new pages, redesigns, email hosting, domain fees, logo or photo work, content writing beyond small edits, ads, and problems caused by changes someone else made. We will quote those first; nothing is charged without your yes.

Uptime is best effort. We work to keep your site up and fix outages fast, but we do not promise a set percentage of uptime and we do not give credits for downtime.

A3. No promise of results

We do not promise that Google, any map app, or any AI will show, name or rank your business, or that you will get calls or sales. Google and the AI companies decide what they show, and they change it often. What we do promise: the work described above, done with care, and an honest before-and-after count from the free check, using the same questions in the same AI tools both times.

A4. Handover

Ask in writing (email is fine), any time, for any reason. Within 5 business days we send: – Launch Kit and starter website: the whole site in a zip (all files, images and text) plus a one-page note on how to put it on any host, and we remove our access from your domain and profile. – Monthly website: your content in a zip (text, photos, logo). The design stays ours unless A1’s 12-month rule applies.

Handover is free. After you cancel, we keep your files for 30 days, then delete them.

A5. Cancelling

  • Monthly fees: cancel any time by email or from your receipt. Your plan runs to the end of the month you paid for, then stops. No cancellation fee.
  • If hosting stops (Launch Kit or monthly website) your site goes offline at the end of the paid month, so ask for your handover zip first.

A6. Refunds – Setup fees (Launch Kit $299, starter website $495): full refund until you approve the first draft. We send the draft; you

approve it, ask for changes (2 rounds included), or ask for your money back. If we hear nothing for 30 days after we send the draft, it counts as approved. Once approved and live, the setup fee is not refundable. – Monthly fees: not refunded for a month already begun, because the work runs across the month . – Google Business Profile setup ($149): full refund if we cannot get your profile submitted to Google for verification. Not refunded if Google later declines it, because Google, not us, decides.

A7. What you agree to

You give us true facts about your business, you have the right to use the photos and logo you send, and you approve the site before it goes live. You are responsible for your licenses and for the claims on your own site . We will not publish a claim about your business we cannot check.

A8. The legal basics

Oregon law; Multnomah County courts. Each side’s total liability is capped at the fees you paid us in the 3 months before the problem . Direct-Me is an independent contractor .

Part B: Referral partner terms

  1. Who can join. CPAs, bookkeepers, registered agents, insurance agents, bankers and others who meet new owners. Joining is free. You get a tracked link and a code.
  2. What you earn. 15% of the fees Direct-Me actually receives from a client you referred, during that client’s first 12 months. Not on refunds, chargebacks or unpaid invoices.
  3. What counts as your referral. The client uses your link or code, or names you, or you email us an introduction, before they buy. If we already contacted that owner in the 90 days before your introduction, or they were already a client, no fee is owed. We will tell you within 5 business days if a referral does not qualify, and why.
  4. When you are paid. Quarterly, within 30 days of the quarter’s end, for money that has cleared. We need a W-9 before the first payment and will issue a 1099 where the law requires.
  5. You must tell your client. Before or when you refer, you tell the client in writing that Direct-Me pays you a referral fee. We give you a one-line disclosure to use. Some professions have their own rules (for example, CPA ethics rules on commissions and disclosure, and bank rules on employees taking fees from vendors). Following your own profession’s and employer’s rules is your responsibility. We will not pay a bank employee personally without the bank’s written OK; we can pay the institution instead.
  6. What you may say. Only what is on our published pages and the partner one-pager. No promise of a ranking, an AI mention, results, or a price we do not publish. You do not speak for Direct-Me.
  7. What we will not do. We will not pay for a referral in a way that depends on what the client buys from you, and we will not share the client’s data with you beyond whether they bought.
  8. No spam. You may not send bulk email or texts using our name.
  9. Ending it. Either side can end this by email at any time. Fees already earned are still paid.
  10. Oregon law. You are an independent contractor, not our agent or employee.
